End User License Agreement

Terms for using our applications

This End User License Agreement ("Agreement") is a legal agreement between you (either an individual or the business you represent, "you") and CalvinSunday Studios LLC ("CalvinSunday," "we," "us," or "our") governing your use of any software application, web application, or integration provided by CalvinSunday, including applications that connect to Intuit QuickBooks (each, the "App"). By connecting, accessing, or using the App, you agree to this Agreement. If you do not agree, do not use the App.

1. License Grant

Subject to your compliance with this Agreement, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the App solely for your internal business purposes.

2. Restrictions

You agree not to:

  • Copy, modify, or create derivative works of the App.
  • Reverse engineer, decompile, or disassemble the App, except to the extent applicable law expressly permits.
  • Sell, rent, lease, sublicense, or otherwise make the App available to third parties.
  • Use the App for any unlawful purpose or in violation of any third-party terms, including Intuit's terms of service.
  • Interfere with or disrupt the App's security, integrity, or performance, or attempt to gain unauthorized access to it or related systems.

3. Your Account & Data

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You retain all rights to the data you provide or that the App accesses on your behalf, including data from QuickBooks ("Your Data"). You grant us permission to access, process, and store Your Data only as needed to operate and provide the App. Our handling of Your Data is described in our Privacy Policy.

4. Third-Party Services (Intuit QuickBooks)

The App may connect to Intuit QuickBooks and other third-party services. Your use of those services is governed by their own terms and privacy policies. Intuit Inc. is not a party to this Agreement and is not responsible for the App, its content, or its support. You can disconnect the App from QuickBooks at any time. QuickBooks and Intuit are trademarks of Intuit Inc.; we are not affiliated with or endorsed by Intuit.

5. Intellectual Property

The App, including its software, design, and content (excluding Your Data), is owned by CalvinSunday Studios LLC and is protected by copyright and other intellectual property laws. This Agreement grants you a license to use the App, not ownership of it. All rights not expressly granted are reserved.

6. Not Professional Advice

The App is a tool to help organize and view business and financial information. It does not provide accounting, tax, legal, or financial advice. You are responsible for reviewing the accuracy of your records and for any decisions you make based on information shown in the App.

7. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT DATA SYNCED WITH THIRD-PARTY SERVICES WILL BE COMPLETE OR ACCURATE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CALVINSUNDAY STUDIOS LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS, ARISING OUT OF OR RELATED TO YOUR USE OF THE APP. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE APP WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US FOR THE APP IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR ONE HUNDRED U.S. DOLLARS ($100).

9. Indemnification

You agree to indemnify and hold harmless CalvinSunday Studios LLC and its owners, employees, and contractors from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your misuse of the App or your violation of this Agreement.

10. Termination

You may stop using the App and disconnect it from QuickBooks at any time. We may suspend or terminate your access if you violate this Agreement or if we discontinue the App. When this Agreement ends, your license ends and you must stop using the App. Sections 3 through 9 and 11 through 13 survive termination.

11. Changes to This Agreement

We may update this Agreement from time to time. When we do, we will revise the "Last updated" date above. Continued use of the App after changes take effect means you accept the updated Agreement.

12. Governing Law

This Agreement is governed by the laws of the State of California, without regard to its conflict-of-law rules. Any dispute arising from this Agreement will be resolved in the state or federal courts located in California, and you consent to their jurisdiction.

13. General

If any provision of this Agreement is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce any right is not a waiver of that right. This Agreement, together with our Privacy Policy, is the entire agreement between you and us regarding the App.
